1.Introduction:
Caballus is a racehorse ownership and entertainment platform that allows members to
experience the thrill of racehorse involvement through fractional shares, immersive content,
and access to a vibrant racing community. These Terms and Conditions ("Terms") govern
your use of the Caballus platform and services ("the Platform"). By registering as a member
or using any part of the Platform, you agree to be bound by these Terms. If you do not
agree, you must not use the Platform. For purposes of these Terms, "Caballus"; (also "we";
or "our";) refers to the company operating the Platform. "Member"; or "you"; refers to an
individual with a registered account and active subscription. Other capitalized terms are
defined within these Terms. These Terms apply to all members and govern your rights and
responsibilities relating to use of the Platform, your membership subscription, and any
shares in horses you may acquire.
2. Membership Eligibility and Account:
Membership is only available to individuals who are at least 18 years old (or the legal age of
majority in your jurisdiction) and who can form legally binding contracts. By signing up, you
represent that you meet these requirements. To become a Member, you must create an
account with Caballus, providing accurate and complete information. You agree to update
your account information promptly if it changes. Each individual may maintain only one
account, and accounts are non-transferable. You are responsible for keeping your login
credentials confidential and for all activities that occur under your account. If you suspect
unauthorized use of your account, you must notify Caballus immediately. We are not liable
for any loss or damage resulting from your failure to protect your account credentials.
3. Membership Fees and Stable Structure:
Caballus operates on a subscription model with a base membership fee and additional
charges depending on the number of horses and shares you select. The base membership
fee is £12 per month and includes one share in four horses as part of a member’s stable.
Each member must maintain a minimum of four horses in their stable at all times. Members
can choose which horses to include or remove from their stable, provided the minimum
number is maintained. Additional horses may be added beyond the four-horse minimum.
Each additional horse incurs a fee of £3 per month. There is no fixed maximum number of
horses a member can include, as long as applicable fees are paid.
Each horse in a member’s stable includes one share by default. Members may purchase
additional shares in any horse at a cost of £3 per month per share. There is no cap on the
number of shares a member may hold in a given horse, up to the maximum total shares
available. Membership fees, including the base fee, additional horse fees, and share fees,
are billed monthly in advance. By subscribing, you authorize Caballus to charge your
provided payment method for these fees. All fees are listed in British Pounds (GBP) and may
be subject to applicable taxes. Failure to pay any fees when due may result in suspension or
termination of your membership. Caballus reserves the right to adjust pricing or fee
structures with advance notice. Continued use of the Platform after the effective date of any
changes constitutes your acceptance of the new terms.
4. Horse Shares and Ownership Rights:
Each racehorse on the Caballus Platform is divided into 5,000 total shares. Caballus may
retain up to 1,000 of these shares and offer the remaining shares to members. Caballus may
release some or all of its retained shares for sale at its discretion. When you add a horse to
your stable, you automatically receive one share in that horse. You may hold additional
shares in any horse up to the maximum share availability.
It is important to understand that these shares do not represent legal ownership of the horse.
All racehorses are legally owned and managed by Caballus or third-party entities. Your
shares entitle you to membership benefits related to the horse, such as updates and access
to events, but they are not investment securities and do not confer any equity, profit, or asset
ownership. The shares are designed purely for entertainment and engagement purposes.
Members are entitled to a pro-rata share of prize money in accordance with the leasing
contract of each horse. The specific terms for prize money distribution will be outlined in the
contract of each horse. Unless otherwise stated in a horse’s contract, members will receive
prize money in proportion to the number of shares they hold in that horse. Prize money
distributions will be subject to standard industry deductions, including trainer and jockey
fees, race entry costs, and any contractual obligations with the horse owner.
5. Share Transfers and Member Trading:
Members may adjust the composition of their stable, such as swapping one horse for
another, according to Caballus’s policies. If you remove a horse from your stable, you
relinquish any associated shares. Adding a new horse incurs a new horse fee and entitles
you to one share in that horse. Members may sell or transfer shares to other Caballus
members if there is interest from a willing buyer. Caballus may facilitate such transactions
and reserves the right to set rules and intervene to prevent abuse or speculation.
Shares can only be transferred to active members within the Platform and cannot be sold
outside of Caballus. Transfers may require approval and notification. There is no guarantee
you will find a buyer for your shares. If a transfer is completed, the receiving member
assumes ongoing subscription responsibilities, including the relevant share fees. Caballus
may, at its discretion, offer to buy back shares, but no guarantee is made regarding such
offers.
6. Cancellation and Termination of Membership:
You may cancel your Caballus membership at any time through your account or by
contacting support. Cancellation is effective immediately unless you specify otherwise. Once
canceled, you lose access to all member benefits and features. We do not offer pro-rated
refunds unless required by law or in exceptional cases at our discretion.
If you cancel your membership while holding unsold shares, those shares revert to Caballus
without compensation. Caballus may reallocate or resell such shares in the future. If you
rejoin the platform at a later date, any previously forfeited shares cannot be recovered
unless repurchased, subject to availability.
Caballus may terminate your membership if you violate the Terms, fail to pay fees, or
engage in fraudulent or harmful behavior. Termination may be immediate in cases of serious
misconduct. Shares held at the time of termination will revert to Caballus without
compensation. Upon termination, you lose access to member features, events, and accrued
points. You may request any cash balance remaining in your wallet unless withheld for legal
or compliance reasons.
7. Horse Management, Expenses, and Community Involvement:
7.1 Management and Decision-Making:
Caballus and its professional partners (such as trainers and racing managers) are solely
responsible for all decisions relating to horse acquisition, leasing, training, racing, care, and
retirement. This includes choosing jockeys, determining which races to enter, and managing
welfare. Members do not have direct control over horse management. By joining, you trust
and authorize Caballus to act in the best interest of the horses and the Platform.
7.2 Community Voting:
Caballus values member engagement and may occasionally invite members to vote on
matters such as naming horses, selecting branding elements, or choosing between non-
critical event options. However, voting outcomes are non-binding and will be considered as
input only. Final decisions rest with Caballus and professional horse management to ensure
welfare and competitive performance remain paramount.
7.3 Covered Expenses:
Caballus covers all costs associated with horse management, including training, veterinary
care, insurance, stabling, feed, entry fees, and transportation. Members are not required to
contribute any additional fees beyond their monthly subscription. The estimated cost of
maintaining a horse is approximately £35,000 per year, which is fully covered by Caballus
through its operational model.
7.4 Horse Leasing & Prize Money:
Horses are either leased by Caballus from third-party owners or managed directly by
Caballus. Each horse’s leasing arrangement may vary and will be stated in its individual
contract. Unless otherwise noted, members are entitled to a pro-rata share of prize money
based on the number of shares held in that horse. Prize distributions are subject to industry-
standard deductions, such as jockey and trainer fees, race entry costs, and lease conditions.
7.5 Horse Removal or Retirement:
If a horse in your stable is retired, sold, injured, or removed, Caballus will inform affected
members. At its discretion, Caballus may offer a replacement horse, an adjustment in fees,
or other compensatory benefits. Members will always be guaranteed the minimum number of
active horses required in their stable.
7.6 No Performance Guarantees:
Racing is unpredictable. While Caballus strives to select and manage competitive
racehorses, we do not guarantee wins, continued performance, or horse health. The
member experience is built around engagement, not assured racing success or profit.
7.7 Insurance:
Caballus may insure horses against mortality or loss of training ability at its discretion. Any
resulting insurance payouts belong to Caballus or the horse’s legal owner and are used to
support platform operations or horse replacement. Members do not receive direct payouts
from insurance proceeds.
8. Member Benefits and Engagement:
8.1 Regular Updates:
Members receive regular digital updates on the horses in their stable, including race
schedules, performance summaries, training progress, and multimedia content.
8.2 Owner Badges and Race Day Access:
For races featuring Caballus horses, limited owner badges may be available through a fair
ballot system. These badges grant access to paddock or owner areas. Allocation is not
guaranteed and is subject to availability and racecourse rules.
8.3 Stable Visits:
Caballus may host member visits to partner stables, offering behind-the-scenes access to
horses and trainers. Attendance is limited and may be subject to ballot or invitation. Safety
and welfare rules must be followed at all times.
8.4 Special Events and Experiences:
Members may be invited to race-day hospitality, celebratory events, or community webinars.
Some may be open to all members, while others will require application or a ballot system.
These events are generally included in membership but do not cover travel or personal
expenses.
8.5 Conduct at Events:
When representing Caballus at events or visits, members must behave respectfully and
professionally. Caballus reserves the right to remove individuals from events or terminate
membership for misconduct or violation of Platform rules.
9. Competitions, Points, and Prizes:
9.1 Competitions and Challenges:
Members may participate in periodic contests, such as race prediction games, quizzes, and
leaderboards. These competitions are voluntary and may be governed by specific rules.
9.2 Prizes and Rewards:
Prizes may include platform points, event access, merchandise, or cash rewards. Cash
prizes are credited to a member’s internal wallet and may be used for fees or withdrawn
(subject to verification and minimum limits).
9.3 Platform Points:
Points earned through competitions can be redeemed for rewards listed in the Caballus
Rewards Store. Points have no cash value and may expire or be modified at the discretion of
Caballus. Point redemption options are subject to availability.
9.4 Fair Play:
Cheating, exploiting loopholes, or creating multiple accounts to gain unfair advantage is
strictly prohibited. Caballus may disqualify participants or revoke prizes for rule violations.
9.5 Tax Responsibility:
Members are responsible for any tax obligations associated with winnings. Caballus will
comply with legal reporting or withholding requirements as needed.
10. Payments and Payouts:
Caballus accepts monthly subscription payments via direct debit or credit/debit card.
Members may also choose a discounted annual subscription, payable via card, bank
transfer, or cryptocurrency (USDT). Prize money earned by members is paid directly back to
the original payment card, registered bank account, or verified cryptocurrency wallet (USDT),
based on member preference. A minimum withdrawal threshold (e.g., £20) may apply to
prize money payouts. Caballus does not hold or manage client funds; the internal Caballus
Wallet is exclusively for holding NFTs of member-owned horses and managing internal
platform points. Subscription payments, winnings, or monetary balances are never stored in
the Caballus Wallet.
11. Intellectual Property and User Content:
11.1 Platform Content:
All content on the Caballus Platform—including videos, race data, branding, horse
information, and digital experiences—is the property of Caballus or its licensors. You may
not copy, alter, or redistribute content without permission.
11.2 License for Personal Use:
Members are granted a limited, non-transferable license to access and share official
Caballus content for personal, non-commercial use. Sharing on social media is permitted
with attribution.
11.3 User-Generated Content (UGC):
If you contribute posts, images, or other content to the Platform, you retain ownership but
grant Caballus a worldwide, royalty-free license to use it for Platform or promotional
purposes. You must ensure your content does not violate any intellectual property or legal
rights.
11.4 UGC Responsibility:
You are responsible for ensuring your content is appropriate, legal, and respectful. Caballus
may remove or block content that violates these Terms, our Code of Conduct, or applicable
laws.
12. Data Protection and Privacy:
12.1 Compliance with Privacy Laws:
Caballus complies with the UK Data Protection Act, GDPR (UK/EU), and all other applicable
privacy laws. We process your personal data to manage memberships, process payments,
communicate with members, and deliver platform features.
12.2 Privacy Policy:
Our full Privacy Policy is available on the Platform and forms part of these Terms. It outlines
what data we collect, how we use it, and your rights. In case of conflict between the Privacy
Policy and these Terms, the Privacy Policy governs regarding data handling.
12.3 Data Security:
We implement robust security protocols to protect your personal data. However, no method
of storage or transmission is completely secure. By using the Platform, you accept the
inherent risk of online data usage.
12.4 Data Sharing:
We may share your information with trusted service providers (e.g., payment processors,
email services) solely to deliver the Platform. Your data is never sold, and we only disclose
data when legally required or to enforce our rights.
12.5 Communications:
By signing up, you consent to receive essential communications from Caballus (e.g.,
account updates, service changes, horse notifications). You can opt out of marketing emails,
but operational and legal communications will continue.
12.6 Your Rights:
You can request access to your personal data, request corrections, or request deletion of
your data in accordance with data protection laws. Instructions for exercising these rights are
in our Privacy Policy.
12.7 Children:
The Platform is not intended for individuals under the age of 18. We do not knowingly collect
data from minors. If we become aware of such data, it will be deleted.
13. Disclaimers and Limitations of Liability:
13.1 Platform Provided “As Is”:
The Platform is provided “as is” without warranty of any kind. Caballus does not guarantee
uninterrupted service, complete accuracy of content, or future availability of features.
13.2 Entertainment Purpose:
Caballus is designed for engagement, education, and entertainment—not for financial gain.
You acknowledge that joining is not an investment or guarantee of returns.
13.3 External Events:
Caballus is not responsible for disruptions caused by events outside its control, such as
natural disasters, race cancellations, political events, or pandemics.
13.4 Liability Cap:
Our total liability to you is limited to the amount of membership fees you paid over the 12
months prior to the event giving rise to a claim. We are not liable for indirect or consequential
damages (e.g., loss of opportunity or emotional distress).
13.5 Legal Exceptions:
This limitation does not apply where it is unlawful to do so. For example, we do not limit
liability for fraud or personal injury caused by our negligence.
13.6 Indemnity:
You agree to indemnify and hold harmless Caballus and its affiliates against any claims,
damages, or legal fees resulting from your breach of these Terms or misuse of the Platform.
14. Governing Law and Dispute Resolution:
14.1 Governing Law:
These Terms are governed by the laws of England and Wales. If you access the Platform
from outside the UK, you do so at your own risk and are responsible for compliance with
local laws.
14.2 Jurisdiction:
You agree that any legal disputes related to the Platform will be brought before the courts of
England and Wales. Caballus may pursue enforcement in other jurisdictions if necessary.
14.3 Informal Dispute Resolution:
We encourage members to contact Caballus first to resolve any disputes informally. If that
fails, the parties may mutually agree to mediation or arbitration, though this is not mandatory.
15. Miscellaneous Provisions:
15.1 Entire Agreement:
These Terms, the Privacy Policy, and any supplemental rules (such as event-specific terms
or platform policies) represent the full agreement between you and Caballus.
15.2 Severability:
If any provision of these Terms is deemed unenforceable by a court, the remaining
provisions remain in full force and effect.
15.3 No Waiver:
Caballus’s failure to enforce any part of these Terms does not waive its right to do so in the
future.
15.4 Assignment:
You may not transfer your membership or rights under these Terms without our consent.
Caballus may transfer its rights (e.g., in the event of a sale or restructuring) without notice.
15.5 No Partnership:
These Terms do not create a joint venture, partnership, or employment relationship between
members and Caballus. Membership does not constitute ownership in the company or its
assets.
15.6 Third-Party Rights:
These Terms apply only to Caballus and the member. No third party has the right to enforce
any of the provisions herein.
